State of the UCC: A Look Back at 2007

Abstract

The most recent effort to keep the Uniform Commercial Code up to date began in the mid-1980s, after a decade of inaction, with the promulgation of Article 2A on leases of goods, and it concluded in 2003 with amendments to Articles 2 and 2A and a revision of Article 7. Of those updates, a majority have been enacted in all or virtually all the 53 jurisdictions represented in the National Conference of Commissioners on Uniform State Laws. Those more recent updates not universally enacted to date are the 2001 revision of Article 1, the modest 2002 amendments to Articles 3 and 4, the 2003 amendments to Articles 2 and 2A, and the 2003 revision of Article 7. While this record is good, it is far less than satisfactory to keep state law viable and thus retain an aspect of the federal system that has served the United States well. If the states that have not acted continue not to do so, history teaches us that there will be further movement to the federal level with all of the attendant consequences
